University of Toronto Press – Pippin Publishing - Acquisition Announcement

University of Toronto Press (“UTP”) to acquire all publishing lists from Pippin Publishing Corporation. (“Pippin”)

UTP and Pippin announced today that the two companies have entered into an agreement for UTP to acquire the inventory and all contractual rights relating to the publishing lists of Pippin, a privately held company headquartered in Toronto, Ontario. The acquisition is subject to completion of satisfactory due diligence, UTP Director approval, and other customary closing conditions. It is expected to close within 60 days.

The acquisition of Pippin’s lists supports UTP’s strategy to expand its publishing of post-secondary educational texts. The addition of Pippin’s titles will extend UTP’s reach into the English-as-a-secondlanguage marketplace. Pippin’s list focuses mainly on pedagogical texts, guides, and workbooks for the ESL market. UTP currently distributes Pippin in North America and makes its titles available directly through its Guidance Centre ecommerce site, www.guidancecentre.com.
